We may suspend or terminate accounts that violate these Terms.

3. Use of the Service

You agree not to:

• Use Upclock for unlawful or abusive activities
• Attempt to disrupt, overload, or reverse-engineer the Service
• Interfere with monitoring targets you do not own or have permission to monitor
• Circumvent usage limits, billing, or access controls

We reserve the right to enforce reasonable usage limits to protect system stability.

4. Monitoring Data

• You are responsible for ensuring you have the right to monitor the endpoints you configure.
• Upclock provides monitoring and alerting on a best-effort basis.
• We do not guarantee that outages, incidents, or alerts will always be detected.

5. Subscriptions and Payments

• Certain features may require a paid subscription.
• Pricing, billing cycles, and limits are disclosed at the time of purchase.
• Payments are processed by third-party providers.
• Fees are non-refundable, except where required by law.

We may change pricing or plans with reasonable prior notice.

6. Free Plans and Trials

• Free plans or trials may have usage limits.
• We may modify or discontinue free offerings at any time.
• Abuse of free plans may result in suspension or termination.

7. Intellectual Property

• Upclock retains all rights, title, and interest in the Service, software, branding, and content.

11. Limitation of Liability

To the maximum extent permitted by law:

• Upclock shall not be liable for indirect, incidental, or consequential damages.
• Our total liability for any claim shall not exceed the amount you paid to Upclock in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Upclock from claims arising out of:

• Your use of the Service
• Your monitored endpoints or data
• Your violation of these Terms or applicable laws

13. Changes to the Service or Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email.

Continued use of Upclock after changes means you accept the updated Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law principles.
